BADGER DAYLIGHTING ANNOUNCES STRATEGIC ACQUISITION
RED DEER, AB, May 19 /CNW/ - Badger Daylighting Inc. (''Badger'' or the ''Corporation'') announced today that it has acquired 51% of the common shares of Baseline Technologies, Inc. (''Baseline''), a privately held Edmonton, Alberta-based company. The specific financial terms of the agreement were not disclosed. Baseline has developed the Pipeline Information Control (''PIC'') System, a complete pipeline data information management system designed for use in the field or office. The PIC System provides for effective access, collection and management of new and existing pipeline data, and integrates this information with diverse data sets such as In-line Inspection data, Global Positioning System data, Geographic Information System data, and the Canadian Energy Pipeline Association and Integrated Spatial Analysis Techniques databases. The PIC System is the first pipeline information management system capable of integrating and synthesizing these data sets, and has demonstrated the ability to substantially reduce maintenance and integrity costs for pipeline owners/operators. During field use, the PIC System has reduced pipeline integrity costs as much as 20% for client companies. Ken Rose, President & CEO of Badger, commented, ''Acquiring control of Baseline's PIC System further extends the Corporation's vertically integrated suite of services and is consistent with Badger's focus on high technology products and services for the pipeline and utility sectors. Badger can now offer our customers the ability to effectively access, integrate, and manage all pipeline-related data in the field or office. Use of the PIC System in large pipeline integrity projects has demonstrated substantial reductions in project costs and provides for the efficient management of data acquisition during pipeline construction programs. The PIC System is highly complementary with Badger's hydrovacing, shoring and pipeline construction services and enables the Corporation to offer our customers the convenience of 'one stop shopping' at a competitive price. This acquisition provides Badger with substantial competitive advantages in both the Canadian and international markets and is expected to contribute to additional revenue and earnings growth in fiscal 1998.'' Badger Daylighting Inc. is a Red Deer, Alberta-based vertically integrated industrial technology company providing various services and equipment to the oil and gas, pipeline and utilities industries. The Corporation specializes in ''daylighting'' underground structures and trenching using a patented hydrovacing process that is safer than typical excavation systems. ''Daylighting'' is a term used in the industry to describe the removal of the soil cover to allow visual observation of an underground structure. A hydrovac excavating system is one which simultaneously uses water under high pressure to remove soil cover and a vacuum system to suck up the debris. In addition to hydrovac services, Badger provides a complementary suite of products to it's customers including small inch pipeline-facilities and construction, pipeline anomaly locating, line locating, shoring, environmental services and designing and manufacturing industrial equipment.
