As far as I know, as long as the form is filled out correctly then the government (SEC) just accepts it. The difference is that if they submit a filing to the government (SEC) and its later found to be fraudulent, the company and its officers can face legal penalties. So, filing with the government (SEC) lends a certain amount of credibility to the earnings report since they would be facing criminal penalties if it were fraudulent. NASDAQ requires that a company be a "reporting company" (reporting to the government) before they will list them.
