The best way for Matridigm to make money is to buy a boatload of Zitel puts, short all available shares, then sell huge chunks of the company so Zitel's equity becomes 3% instead of 33% ... or if they're in cahooots with Zitel, just ask Zitel to sell back their share to Matridigm for double the amount they paid for ...
