To the Employees, Officers, and most importantly, Shareholders, of Solpower Corporation.
I, Joshua Ward, publicly apologize for the situation at Solpower Corporation. Although my methods may have been unconventional and criticized by some, I at no time disseminated information via any medium, that was not already released by Solpower, was general knowledge, or was past or present information. In response to my termination and the News Release dated May 19th from Solpower, I must correct a material mis-statement of fact. It states "Ward has acted without the company's knowledge.", that is an error. The CEO not only knew about it, he personally paid for Silicon Investor and knew from the beginning. That was not the real problem though, it was only a symptom, as were countless other situations culminating in my termination. The real problem at Solpower was a simple and yet complete breakdown in communication. Persons closely following the situation, including employees, shareholders, and even myself, noted and voiced some concerns about operational issues facing the firm, as well as were very pleased at the recent achievements made by the company. Good and Bad. During the past year with the firm as an Independent Consultant and Corporate Relations, it was my fiduciary duty to fully disclose both the good and bad information to the shareholders, and try to communicate with Management about the operational problems facing the company. The eventual circumstances culminating in my termination related to another important duty of mine, to consult on the most efficient and economical way to do the global business of Solpower. Over an eight-month period I was put to the task of researching and identifying as objectively as possible, the information and technology needs of Solpower Corporation. My research findings are concluded in this condensed report which I unsuccessfully presented to the Board: The core business of Solpower Corporation was to distribute via corporately owned and licensed plants, environmentally based products on a global basis. To most efficiently accomplish that objective, my research indicated three integral solutions needed for the company: One, as Solpower Corporation gears up for operation and production on the scale they are talking, then my research said they would need at each plant a corporately standardized commercial computer and technology based accounting and reporting system, MAS90. This system would record the operations and distribution of products, provide a proper management information system, and quickly and efficiently be able to financially report the results of ongoing operations for SEC filings (as Solpower Corp. -SLPW is a public company trying to list on the Nasdaq Smallcap, per news release). Second, as the licensees and sales persons initiate selling, my research pointed to the need for a corporate intranet, networked with the accounting and reporting system at each plant, to support and interface with the salespeople to supply them with the backup and support needed for an organized and efficient sales effort (J.I.T., Real-Time). Third, my research pointed to the future in that if Solpower most efficiently wanted to interface with their future customers and salespeople, and wanted to realize the greatest margin potential (and therefore corporate revenues) on any and all products sold, they would install an internet `front end'. This front end would combine the best of web content, exclusive products, merchant transactability, and interactivity with secure information and data storage capabilities. This would allow Solpower to most effectively, efficiently, and economically communicate and database data from its employees, shareholders, and customers and conduct its' business. I sourced some of the top computer consultants in the industry including Forrestor Research and Neptune Net Industries to help accomplish the three objectives. When I sourced the computer industry consultant Neptune.Net many months ago, I also came up with what I personally believe is the best idea I have ever had. That is, if `Sol'power stands for `Sun', and Neptune.Net can most efficiently solve the three problems facing Solpower Corp, why not use the most logical and universally known concept signifying the `greater' part of which these two names represent- The Solar System (and more specifically www.SolarSystem.com) to build something bigger via the web. For if Solpower represents the Sun, and Neptune by Neptune.Net, why not open the door to the vast commercial expanses on the net. Then from now on, anyone who ever goes on the net, and searches for anything in the solar system, (www.solarsystem.com) or in any one of the planet representations-(PlutoProducts, Neptune.Net, Uranus, SaturnResearch, JupiterMedia, MarsMall, EarthControl, MyVenus, MercuryWire, and last but not least - Solpower.com) would find universal brand appeal and a heightened global awareness and need for the products and equity of Solpower Corporation-in all languages. Also, by an implementation of that sort of business plan using the internet, I believe the overall stock market is paying vastly, and let me repeat (as a shareholder), vastly higher P/Es and valuations for companies that can successfully embrace information technology in any commercially positive fashion, i.e. achieve hyper-valuation. One final observation, no matter at what speed or efficiency that Solpower actually conducts business from now on, I believe that Solpower Corporation has some of the most advanced and superior technologies that this planet, and our environment, has ever seen or needed, respectively.
In the end, and as my final communication with Solpower Corp., I personally apologize for any dissatisfaction with my services. I cannot honorably take full credit for this situation, I believe that I was not the only one at fault for the unique circumstances and breakdown in communications. I would personally never go back to Solpower unless Solpower mandated an open forum for communication between its employees, shareholders, and customers, takes credit for their part in the failure in communicating, and implements the entire three part plan as outlined above with me in charge of information and technology. Other than that, I thank Solpower Corporation for the opportunity to help build the company to date, and wish them the best of luck in the future, the investors will be watching!
