TJS,

The man that telephoned Sprint was not Dennis Casey. The man
that contacted Sprint is a man that was part of old management
(Allan King Group). I had voiced to Joe V. he should have this
person terminated in September, 1996. The opinion of the Consultant for Xecom was never acted on. We have also had a constant leak
from the Dallas office to the Allan King group. It has appeared
that they always know what is going on with the company and what
are actions would be in regards to our lawsuit with the King Group.
I continued to tell Joe V. that keeping this person was only going
to be a detriment to Xecom/Airstar. But he went against my advice
and let this person stay on.

You ask did Joe V. let the deal fall through? Yes!! Why do you
think he has been dragging his feet in respect to turning my notes into equity? By not doing that, I would not have the voting power
it would give me. There was nothing I could do to save this deal.
It is just another example of Joe Vigliarolo's manipulative moves. The answer to your last question on whether Joe Vigliarolo would
prefer a shell with cash? Yes. As you can see, he will have the
complete control over the shell and the CASH.
