GARDEN CITY, N.Y.--(BUSINESS WIRE)--May 26, 1998--International Pizza Group, Inc. (OTC Bulletin Board: IPZZ; the "Company") announced that on May 15, 1998 it entered into an agreement to merge with Technology Horizons Corp, a technology development and venture capital company formed for the purpose of acquiring, in whole or in part, interests in private Internet, technology and multimedia consumer product based marketing companies which could benefit from public ownership, and are in need of business management assistance or financial management assistance and organizational restructuring which the Company can provide. The Merger was concluded on May 21, 1998 and is effective as of that date. The combined Company will manage and develop Technology Horizons' current primary portfolio business enterprise, CDKnet, LLC, a later development stage software technology company whose proprietary CDK(tm) technology combines Internet browser functionality, "Red book" quality audio, and full screen-full motion video in one platform that has broad application for the multimedia marketing , advertising and promotion areas, music and entertainment industry and music industry special projects business. Technology Horizons Corp is the parent company of Creative Technology, LLC (CTL) which owns a controlling interest in CDKnet, LLC.
