The major difference I see, other than the "dividend" being a taxable event to the shareholder follows:

If the 1 for 2 "dividend" took place with different conversion dates - the MMs, and whoever else sold it last week would have a short position in a non-registered, non-quoted security AND NO WHERE TO COVER THE SHORT POSITION !!!

A 3 for 2 split, with common conversion dates, would allow the shorts to cover with the existing quoted "P".
