McLEAN, Va., Nov. 20 /PRNewswire/ -- On November 18, 1996, Systems of
Excellence, Inc. (OTC: SEXI) filed a periodic report on a Form 8-K with the
Securities and Exchange Commission ("SEC") announcing certain significant
developments, including the appointment of new members of the Company's board
of directors, a new President and Chief Executive Officer, the re-engagement
of independent certifying accountants, an internal inquiry regarding the
actions of prior management and the issuance of company stock, and an action
filed by the SEC.
Mr. Thomas Clines, new President and Chief Executive Officer of the
Company stated that the SEC's lawsuit relates to facts and circumstances which
occurred during the time period when Mr. Huttoe was Chairman of the Board and
one of two directors of the Company. Mr. Clines further stated that he was
pleased to see that the SEC's action does not seek any monetary damages or
penalties from the Company.
With respect to possible claims by the Company against persons who may
have been involved in any alleged wrongdoing against the Company, Mr. Clines
expressed the new Board of Directors' firm commitment to explore all options
available to the Company to take aggressive action, wherever appropriate, to
pursue the Company's rights and remedies and act in the best interest of the
Company and its shareholders.
