The following Q&A with CSHK President Rhonda Windsor was taken from a conversation we had on Wednesday night, June 3. It is not a word for word transcript, but a compilation of my notes assembled into a Q & A format. Rhonda has "agreed' with the basic content of the information below but this should not be construed as a public statement from Cashco, rather an overview of our converation dealing with several questions put forward. Much of the wording, phrasing etc. is mine, not Rhonda's.
Q. Who developed the 11th Hour Software? A. Three guys in Florida under auspices of a company named Merced. When CSHK was offered the software it made no difference to us what official affiliation these three had. We thought they were incorporated. They recently did decide to incorporate in Florida.
Q. Is the Merced incorporated in Nevada the same company? A. I have no knowledge it's the same one. The person I deal with is from West Palm Beach.
Q. How did Merced come to your attention? A. Mark Shultz introduced those guys to CSHK before I got involved, probably in October or November. His web site was serviced by a company called Walltech, who had a relationship with the three programmers that made up Merced. We had told Mark that one of our focuses was to look for new and exciting projects and so he told us about Merced.
Q. Where does 11th Hour Software fit in? A. 11th Hour Software is a wholly owned subsidiary of Cashco. We have an exclusive license to market and sell Merced's Y2K product through that entity.
Q. What about Zitec? A. Zitec is totally a separate entity from Cashco. I felt I knew how to market things through the grocery and drugstore retail but not software. George Palmer and his company Zitec were presented to me as a company that could do that for us. Their web site is totally their own, but their job is to market our software for us.
Q. Why is Wallace Technologies listed as the owner of zitec.com? A. They have nothing to do with Zitec. I put out a press release saying we would sell our software at zitec.com and the people from Wallace noticed the Zitec people, for whatever reason, hadn't secured that name, so, to be safe, Wallace secured the name for them. The name has since been transferred to Zitec.
Q. Why can't we find a listing for 122 W. Generic Street, where Zitec is supposed to be? A. Don't know. I'm in Toronto and Zitec is in Pennsylvania.
Q. Can you elaborate on the recent order from Zitec for the Y2K software? A. [Note: this is a quote from an e-mail; used by permission] "It is a firm order. We expect to fill it. With a combined sales from the Internet and other companies but not limited to Intellagent we do not anticipate not being able to sell in excess of 40,000 copies. It may take more than 90 days, it my take less. ....my crystal ball is fuzzy at the moment. Marketing of the product will be to the best of my knowledge through the net, bundleware, maybe home shopping clubs and direct sales through magazines. We are not too fussy about the store route, time consuming, expensive and unwieldy. We will also explore the opportunities to work with large firms who have large numbers of computers on site."
Q. Who are A.R. Brooks? A. A.R. Brooks is a private company who started doing a test market of the kitty litter and decided it was outside of their realm of expertise. They agreed to sell it to us in a share for share exchange their whole company. Cashco acquired them in September before I was hired. It was the deal that attracted my attention the most to Cashco.
Q. The 6.1 million shares paid for A.R. Brooks is being held in escrow. For who? A. It is my understanding the shares were restricted for one year and are sitting waiting to be distributed among the 16 original shareholders of A.R. Brooks.
Q. Who makes the kitty litter? A. The packaging is being done here in Florida. The bags are then shipped to various plants who will make the kitty litter. There's a plant in New Brunswick, California, Arizona, and South Dakota. These companies normally make wood pellets from waste wood but by crushing it instead can make kitty litter.
Q. Where can I buy Paws Only, the kitty litter, here in Connecticut? A. I'm not sure about your area, but if you were in New York it would probably be Wegmans, Topps, and Bells. We hired a guy in California with 24 years of experience selling to food stores to distribute it. We expect to approach all major retailers representing all states.
Q. When can we buy Paws Only? A. I hope the first of August.
Q. Ever heard of Zelco Wood Products in Florida? A. No.
Q. Who is Italo Ferrari. A. A director of the company.
Q. Who is Telanis and where are they incorporated? A. They are a bunch of techies from Texas. They have been in business for two years dba Telanis. They are not incorporated but will be soon now that they have reason to do so.
Q. Why so many subsidiaries? A. There is the business of the public company and then you have the revenue generating portions of it. Each wholly owned subsidiary has a different product and thus operates in its own way. Catalyst and 11th Hour were created by us to acquire products. A.R. Brooks was purchased. We are evaluating Telanis.
Q. Who is Catalyst Software? A. They are our subsidiary that will handle the chat software that should be released in August.
Q. What about Dimples Diapers? A. That was a labor of love. Yes I hired people that turned out to be criminals. But they didn't come with bullseyes on them telling me ahead of time they were going to forge my signature, etc. It cost me a millions and ten years of my life. I'm not pleased about it but I'm not letting it drag me down.
Q. Have you ever paid Mark Shultz for his services? A. I can say that Cashco has NEVER paid him either now or before my time. There is nothing on the books and records to indicate that. He has never asked to be paid either.
Q. Are you concerned about Mark Shultz's relationship with Wallace Technology? Wallace owns shares in Cashco and Shultz is a client of Wallace who has said glowing things about Cashco in newspaper reports. A. I hadn't considered that, but we have no control over such things.
Q. Did Mark Shultz have a prior relationship with Cashco before coming to them with Merced's product? A. I don't believe so. That was before my time.
Q. Which newsletters have promoted CSHK and who have you paid? A. Only three I know about are Jim Bristol Top Dog- no consideration; Penny Stock- paid; and Stocks 4 Tomorrow- no consideration.
Q. Have you ever done a 504 Regulation D offering? A. Yes, before my time.
Q. What about the stock price? A. The price of the stock will hopefully be reflective of the progress and success of the company. Once a revenue stream is underway, info about the progress of the company will be issued on a regular and timely basis. What the stock will do is anybody's guess. I concentrate on running the business.
Q. Are you currently actively involved in applying to the SEC to be a reporting company? A. Yes.
