I bought the stock via a rec in the Dog House. I did not have the time to research any of the filings as the market was moving. As I watched the stock trade on LII it was trading "funny". I took a look at the filings and saw the Reg. I posted it right away and dumped the stock. My mistake and it will NEVER happen again. I agree with your assessment about Reg-S & S-8. Stay away! Robert
