Nope, you're right and your deductions are right. Basis was clearly
over the proverbial hill - had a long, albeit old, list of customers
who have been antsy about the lack of interesting products from IDI
and have been slowly moving towards the alternatives - more so
to DCTM and FILE than others. For OTEXF, the merger is clearly
a way to buy an installed base and try to convert them over before
others do.

I suspect that OTEXF's management knows as well as anyone else that
it's going to be hard to compete against the ever-encroaching
functionality of Notes (Domino.Doc) and Exchange in the area of
collaboration. Even if they do, the commoditization of this market
will make the pickings quite slim. Hence they're trying to move
into "knowledge management" - the latest term that a group of
overpaid analysts have come up with to justify their jobs! Today
this is no more than traditional document management.

I don't think IDI is going to be accretive to OTEXF earnings in
any big away. After all, IDI's earnings weren't enough to fund
their own growth over the past several years!! Any benefit to
OTEXF would accrue after there is a clear and painless way for
IDI customers to migrate to OTEXF. What I'd watch out for over
the next 3-4 quarters is for signs of such efforts distracting
OTEXF from its bread-and-butter. If this happens, Lotus and
MSFT will knock the knees out from under OTEXF. I wouldn't
discount these 2 players and their effect on OTEXF...if you do,
you don't know the first thing about this business.
