Maxnet, Inc. Completes Purchase Agreement to Acquire
Webphonebook.Com

NEW YORK, June 5 /PRNewswire/ -- Maxnet, Inc. (OTC Bulletin Board:MXNT - news) has announced that it has completed the purchase agreement to acquire the assets of Intrasoft, Ltd., an emerging internet marketing company, whose primary products consist of Online-Industry Directories and Exclusive Business Guides falling under the internet address www.Webphonebook.Com.

''I think we're seeing a search revival,'' said Chris Charron, an analyst who tracks Web destination sites for Forrester Research.*

Today's announcement follows on the heels of Maxnet's announcement on May 29, 1998, regarding the joint project with Fountainhead Management, -- ''Launching a new internet search engine utilizing next generation 'search spider' technology.'' The technology will be incorporated into Webphonebook.Com's directory services. Maxnet, Inc. intends to release more information regarding the acquisition and the new search engine in the weeks to come.

Webphonebook.Com offers businesses an exclusive presence on a featured internet website service in a selected geographic area of their choice designated by zipcode. With each zipcode listing representing an initial $500.00 annual revenue at the introductory price, and over 30,000 zipcodes available, the potential exists for each industry to generate a minimum of $15,000,000 a year. With hundreds of industries and millions of consumers/netsurfers that could potentially benefit from the Webphonebook.Com service and considering that over $11,000,000,000 are spent annually on Yellow Page advertising alone, the Company's potential is enormous.

Certain of the statements included in this press release constitute forward-looking statements within the meaning of Section 27A of the Securities Exchange Act of 1934, as amended. The Company notes that a variety of factors could cause the Company's actual results and experience to differ materially from those expressed in these forward-looking statements.
