"The following pro forma condensed combined balance sheet as of January 31, 1998, and the condensed combined statements of operations for the year ended October 31, 1997 and the three months ended January 31, 1998, give effect to the following:

On April 9, 1998, Bio-Reference Laboratories, Inc. [the "Company"] acquired the assets and certain liabilities of Medilabs, Inc. ["MLI"] from LTC Services and Holdings, Inc. ["Holdings"] and a wholly- owned subsidiary of Long-Term Care Services, Inc. ["LTC"].

The acquisition will be effective April 9, 1998 for accounting purposes and will be accounted for as a purchase. The operations of Medilabs will be included in the Company's results of operations commencing April 9, 1998".....
