SAN FRANCISCO--(BUSINESS WIRE)--Nov. 5, 1996-- MSH Enterprises Corp Tuesday announced that Intel Corp.
has purchased a warrant to buy up to 1 million shares of MSHE.

MSHE has also entered into an agreement with Intel under which Intel will cooperate in the development of MSHE's new
production management software system. This system will be used as a work flow manager for advanced animation rendering
projects utilizing Intel architecture-based workstations.

The new software system has the potential to reduce the costs and schedules required to produce animated episodic television
and feature films. The software package operates on multiprocessor Pentium Pro processor based systems using the
Windows/a NT operating system and Auto CAD 3D Studio Max/a from Autodesk. The first projects to be produced using
the new system are a slate of children's animated programs from MSHE.

Robert Maerz, MSHE founder and chairman stated: ``MSHE is involved in creating children's entertainment. We believe there
is tremendous potential represented in this agreement with Intel to better achieve our goal of producing programming in a more
cost-effective manner and delivering it to market more expeditiously.''

``The MSHE toolset demonstrates that standard Intel Pentium Pro processor based systems running NT can provide all of the
performance needs for the most advanced computer animation requirements at a fraction of the cost of proprietary solutions.
We are pleased to be working with MSHE to help bring our architecture into this growing segment of computing,'' said Paul
Otellini, executive vice president of Intel.

MSHE is a San Francisco-based children's animation, film and television production company. MSHE plans to occupy a niche
in children's animation and family television production, toys and merchandising, as well as series production and software
licensing.

The company currently has two original children's animation programs and a prime-time drama series in development. It is
expanding its presence in corporate communications, television movies and distribution.
