Sorry to confuse you even more... LOL

The previous management did their share of Reg. S. There were obviously some debentures still to be converted when CVIA's last 10Q (the one that states that there were 17,667,112 shares outstanding) was filed.

The PR issued Nov. 11, 1997, states:

1. Relief of various small liabilities that have now been attended to.

2. Confirmation that virtually all the remaining debentures have been converted. ...

3. Expanding the field of prospective merger candidates...

4. Clarification of the status of the previous agreement with T.L. Phipps. CVI now holds a 25% interest in T.L. Phipps & Co. and a 14% interest in Promar, Inc.''


And that's when, I think, the outstanding count was affected.
