IMAGICTV INC.
Backgrounder

ImagicTV produces ''telco-ready'' business application software that
enables service providers to deliver digital broadcast television to
residential customers over existing copper telephone wires or any high- speed
Internet Protocol (IP) network. <i This integrated solution takes advantage of IP
multicasting, ATM switching, MPEG and xDSL technologies, allowing home access
to television and Internet content through a TV set-top box or PC, utilizing
an electronic program interface. /i>
ImagicTV is a one-product/market company with a very targeted market
focus and a global orientation. The senior management team has more than 100
years of combined experience in a variety of disciplines within the
telecommunications industry. The president and CEO of ImagicTV is Marcel
LeBrun. An integral member in starting the company, Mr. LeBrun was previously
involved in business strategy and development as part of NBTel's (The New
Brunswick Telephone Company, Limited) VideoActive (TM) network.
The ImagicTV product is a complete solution designed to integrate into a
telco's existing infrastructure. The ImagicTV solution is the ''killer
application'' for broadband services. It makes the business case work because
it achieves the complete service package required.
Since the system operates on an IP network, telcos will benefit from
low-cost provisioning as an unlimited number of channel packages can be added
and removed instantly and on-line. The telco's customers will receive all
expected Internet capabilities, like Web browsing and e-mail, as well as
digital-quality video and sound. A user-friendly program guide will provide
helpful information on programming and content. Viewers will be able to use
this to record a future program on their VCRs or to block specific programing
at their discretion. They will even be able to choose how they want to be
billed for their services.
ImagicTV Inc. is 51% owned by Bruncor Inc. of Saint John, N.B. The
balance of ImagicTV's ownership is held between Celtic House International
Corporation and Newbridge Networks. ImagicTV has offices in Saint John and
Fredericton (New Brunswick, Canada). It is an affiliate of both NBTel
(Bruncor's principal subsidiary) and Newbridge Networks.
