The merger can't be completed without the authorization of more shares.
ATCT's current corporate charter allows for issuing 27.5 million shares, about 21.5 million of which have already been issued. The
merger agreement requires an additional 33.5 million shares to be given
to IQI shareholders for their stake in IQI.

If the merger is approved, and the share authorization is increased
to 100 million, it is likely that somewhere down the road the merged
company, AGIS, will offer shares to retire debt. But I would guess
that won't happen until the new company strings a few good quarters
together so that they will generate interest in a stock offering.
