I have a question and hopefully there is a good or a reasonable answer, and I think I may have even answered my own question.

Why was Fisher given so many shares to begin with???

Onle reasonable answer is that it was based upon the assumption that the work would be split 50-50 between Spriggs and Fisher or close enough. [Maybe this is just me, but I would bring 2 people on board give them 10% each and supervise/coordinate.]

Spriggs handling all aspects of DF-144 plant construction, production, and blending. Fisher raising capital, handling the marketing/selling DF-144, and miscellaneous administrative stuff (like the patents).

Is there anything that Fisher was supposed to do, that he did right???

Since Fisher had problems such as being wanted by the FBI and other agencies before coming onboard to Arcon, eventually he would have had to leave (one way or another) the company anyways. Doing that would probably cause him to surrender most if not all of his restricted insider shares, that in addition to performance requirements had a vesting period (ie. must perform duties x,y,z and stay with the company for at least 5 years or $1 billion in sales met) or something like that.

Knowing that, why not commit securities fraud and illegally convert and sell shares??
