Dear Paddy D. The pledging of all assets is not unusual for a company the size of TAVA, at the time. Its not even for the reason you suspect, ie collateral, its so that should TAVA wish to borrow money elsewhere they would first have to get permission from the lender to free up some assets to pledge. Believe me, permission would not be denied, why, because CASH is the best collateral of all. Receivables from a Service company, if it were to fail are WORTHLESS!! All that is behind us now. Here is what I didnt and dont like about the loan. The warrants. Yes that was likely the market price AT THE TIME but times have changed. I hope very much that the company pays off that loan IN FULL by December 31, 1998 to avoid issuing and MORE warrants. Oh yes, another thing, the interest rate also was reasonable given the nature of the business AT THAT TIME. Tava is a whole new company now. Clean Balance sheet, NMS status, numerous contracts with Major Credit Worthy Companies. I see no reason why they cannot do standard bank financing in the future if they need any financing at all anymore. JDN
