PROXY DATED 6/15/98 for asset sale - almost $ 2 / shr Total Law Enforcement Division purchase value is $5.9 mln plus MACE retains a A/R worth almost $2 / mln . Sale represents only 40% of MACE's assets and there are about 3.5 mln shares outstanding: sec.gov Continued MACE name license should be good for both companies. Regards, Jim K.
