I am puzzled about the following exert:

Carlton has agreement for its
offer from management and shareholders of the Charlottesville,
Virginia-based company worth 44 percent of the shares.

What does this mean ?

Do they only have 44% of the shareholders approval
Or is the Co only worth 44% of the issued shares?
How do you and everyone else read this sentence?

What a shame.
