I suspect it's a matter of critical mass. SIGA couldn't do a secondary at a decent price, so it didn't have the money to do another takeover. So SIGA chose another way to grow. Is it a fair price? If the combined companies have a reasonable shot at trading at $20/share in the next semiconductor sector boom, I'd say yes. It looks to me like they do. SIGA would probably hit factory capacity if producing product at a rate justifying $15/share, so if they can produce more as a combined company, there's more upside by combining.
