Dear Paul - the only thing I interpret slightly from yours is that breakup scenario - the only one that can affect the deal is on the side of BAY [counteroffer is more likely than shareholder revolt, especially if she failed to recover from 1 Q disappointment.] The reason is pure and simple. BCE has already given its blessing - and it holds 51% of NT! Interestingly, lack of collar works both ways. Of course, there is still a lot of details small fries like us don't know - and probably don't care until it happens - such as breakup penalties etc.
