A BOD does not need anything to vote a reverse through -- they could do it today and we would have no recourse even if they owned zero shares. The proxy I was referring to would remove the BOD and replace them with a shareholder friendly slate. The operation in China did not end up with a majority of the shares -- but I believe, initially, they were the largest shareholder. (I believe they distributed stock to the principals and employees of the operation - many of whom still work for the new company.
