Dear elepet - I am not that knowledgeable, but maybe I can address some of your questions:

Like others in this situation, there will be a special meeting in which every shareholder of both cos is allowed to vote their shares [by proxies.] So, when the time comes, you will get it in the mail. AFAIK, the timetable is [calendar] Q3 for consummation. Also, there may be some concurrent waiting period [90 days?] so FTC will give its ok. NT is offering .6 share of NT for every share of BAY. In fact, except for the mechanical bureaucratic stuff, everything is said in the original PR

Now, to the more personal situation, even though your questions are genuine, I doubt anyone with considerations will want to tell you what to do without knowing why you are holding BAY. There is always a chance for BAY to go down, up or stay around 30. It is more important to ask yourself the reasons of your investment, the amount of pain tolerance [as the famed Peter Lynch would say,] your own timetable and any opportunity cost you deem worthy of considerations. Maybe you are looking for assurance, if that is the case, sorry I can't help you
