1) If these guys had assets that were really worth $200 million why would they need to go public through a small BB shell? They could have raised money privately.

Let's remember: ICVI wasn't a shell: it was an active company. You want to buy a nice clean shell, no problem. So why did MTEI light upon something as stinky as ICVI?
