I have run into the "non-reporting public company" before but still can't understand how such a thing can be.

Do you know what allows a company to be non-reporting?

Certainly they must be registered with the SEC, and have therefore filed a registration statement. My understanding was that any company selling shares to more than 35 shareholders must register.

Would much appreciate anyone's help on this question. Thanks
