TO ALL: This just in from an Amati watcher I know....

Have just labored through the proxy package sent through Bear Stearns, relating to AMTX's annual meeting 12/20/96. Enclosed was their annual report, much of it printed in invisible ink or 7 point type. It was written, I believe, by the usual suspects, their lawyers.

I must say that I've seen fewer risk factors highlighted on the label of a milk of magnesia bottle.

The good news is that a Dr. James Gibbons is listed as a director of both Amati and Cisco Systems. He is chairman of Amati.

Dr. John Cioffi was the founder of Old Amati, has been a professor at Stanford since l986, has served on technical staffs of Bell Labs and IBM's Almaden Research Labs...and...he's credited with owning or controlling more stock than any other of the inside clowns: 1.17 mil shares plus an option to buy an additional 1.188 mil shares.

As I read the proxy, the main business to be voted at the meeting is to achieve s/h approval of a new l996 option plan. I believe I smell a rat.
