What does Seamens have to benefit by selling?

My guess is he disagreed with the rest of the board on something and is very angry. If he is not angry, then the only reason to sell is if he sees the company's future prospects as non-existent. This I doubt.

How about this scenario?

Right now Ericsson is looking to acquire a few networking companies about the size of Westell. People are pointing in Pairgains direction even though their marketcap is 5x larger than what ERICY has indicated. Anyway, Seamens is against being bought out and to spite the rest of the Westell board, he tries to value Westell as low as possible for some fixed time period. Then the buyout occurs.
