You are correct that it (504) is an unregistered public offering, for which there is an exemption (504). However, when stock is sold by the recipients of this stock who then 'return' half the money to the company this is:

1. A sham transaction
2. Fraud (see #1)
3. An unregistered public offering for which there is no exemption
