Lazard, Berenson Minella Advise
In Carlton Deal With Nimbus

NEW YORK -- Lazard Freres & Co. is advising
Carlton Communications PLC (CCTVY) in its
acquisition of Nimbus CD International Inc. (NMBS).

Documents filed with the Securities and Exchange
Commission Tuesday said Nimbus is being advised by
New York investment-banking boutique Berenson
Minella & Co.

Carlton said last week it had agreed to buy Nimbus, a
Charlottesville, Va., optical-disc manufacturer, for $264
million, or $11.50 a share.

Nimbus said it had agreed to pay Berenson Minella a fee
equal to 1.1875% of the amount of cash shareholders
will receive once the company's merger with Carlton is
complete. That amount could top $3 million if all of
Nimbus' shareholders accept Carlton's tender offer.

Carlton said it had agreed to pay Lazard Freres
$900,000 plus some out-of-pocket expenses, including
legal fees.
