I spoke today with a friend at Lucent not only in this context but also in the context of the TCI-AT&T deal. Here are factors.

1. Lucent does not have products that compete with Bay. Lucent, on the other hand, is an NT competitor.
2. AT&T is a large user of Bay equipment for its internal networks.
3. Bay sells cable modems and headend routers and other infrastructure to MSOs.

Here are the questions:

1. Is Lucent willing to let NT through the Bay acquisition have a presence in the internal data networks at AT&T?
2. Is Lucent willing to let NT through the Bay acquisition have a presence in AT&T's MSO cable infrastructures that they will own?

If I were running Lucent, it would grind my a....s to allow that to occur. If I were Lucent, the easiest way to shortcut that problem (which see as a major PR snafu) would be to buy Bay - if I could. If not, then I would buy NT - if I could. If not that, then I would buy..... and do everything I could to throw Bay/NT outta there.

Comments? Thoughts?
