AOL to Offer $500 Million Common Stock

DULLES, Va.--(BUSINESS WIRE)--June 29, 1998--America Online, Inc. (NYSE: AOL - news) announced today that it is offering approximately $500 million of its Common Stock in a block trade off of its universal shelf registration statement.

For a written copy of the Prospectus, please call Sara Bhatia with America Online at 703/265-2188.

That's about 5 million more shares based on recently price range. This will lead to a earning dilution. Also indicates the management seen the stock's high already. This kind of new offering is good for AOL as a company, but not so good to AOL's old share holders.
