A couple of questions concerning SpinCo.

1) Is it possible for the date of 'shareholders of record' to be prior to the official announcement date? (i.e. on July 1, 1998, Q announces that shareholders of record on May 1, 1998 will receive the SpinCo shares as of Oct 1, 1998)

2) Is the new SpinCo merely a management company (an arm of the Q), supporting the infrastructure agreements established by Q, or (if truly a separate public share entity) will it be free to develop independent agreements?

Others have likened this spin off to Lucent. In my view a Lucent analogy is not correct as Lucent is a research and production outfit. If SpinCo is a merely a management firm, potential profits would be limited to service fees. If the outfit will be a partner in developing the associated infrastructures and is able to share in the profits of the systems then I see greater potential. If SpinCo has a free hand to develop further infrastructure agreements independent of Q, an argument could be made for even greater profit potential.
