You make perfect sense. I think everybody may be inferring too much from the current price action. Many institutions avoid selling stocks near quarter end because it hurts their performance (and reduces their fees). Within this context and given the light trading volume, today's decline could easily be attributed to profit taking after a quick run-up.

As for the spin-off structure and details. All I can say is "relax". We can speculate 'til we're blue-in-the-face, but until the lawyers cut loose on the document we are largely wasting our time with "hip-shot" analysis.
