(Conference Call Notes)...NetDynamics Inc. has great technology in the application server software market. This acquasition according to SUNW will position SUNW "as the software leader in the open enterprise JAVA BEAN API."

NetDynamics has a large established customer base and service organization that can install customer (JAVA) software solutions on SUNW hardware today. Boeing, Rockwell and Motorola are customers that use the application server software today.

SUNW will not disclose price at this time but it is a stock deal. NetDynamics will be consolidated into SUNW's global software sales force. NetDynamics has established sales channels that SUNW will leverage to sell both hardware and software applications.

NetDynamics has a significant WindowsNT customer base that SUNW plans to support using the JAVA cross platform. SUNW will continue to support and develop application server software that will support "ALL OPERATING SYSTEMS" (ie. WindowsNT, HWP UNIX, SOLARIS, etc).

IBM, SUNW and NetDynamics continue to work together to develop strong cross platform application server systems. The enterprise Java Beans (EJB)will help establish a standard.

There was no mention of estimated annual revenues from NetDynamics as this might provided a better view as to the overall cost to SUNW and if this transaction is accretive to earnings.
