I know alittle about Remedy - I worked there until recently for a few years. Here is my two cents on your questions.

1) The help desk market still has alot of room to grow, but the help desk is no longer a stand alone solution. Remedy does a good job of third party integrations, but has never done any M&A to really get beyond a one trick company. They are losing in this to the more aggressive people like NAI and maybe even Tivioi/IBM in the near future if they don't move.

2) I think management was good for a 20-40 million dollar company, but is way over their heads to get it beyond the plateau it is now stuck at. They are way to arrogant and lack experience.

3) Remedy actually is a 3-tier product and always has been. The technology is very good, but looks alittle old and not always very user/admin friendly.

4) Remedy has both a Unix and NT version, and the NT is actually the most popular product for evaluation and was getting close to being the biggest seller.
