I agree with the second half of your input, the first half is questionable.

The release mention's that Huttoe excepted the new board etc..

I don't know if he picked them or planned the ended, but I wouldn't thing the idiot would spend a crash course over the weekend filling out the S-8's if he knew what was going to happen. It sounds like something came apart in the end that Huttoe either didn't think about or was aware of. I suspect the original accounting firm notified the SEC when Huttoe didn't explain certain items and panicked. The letter from the account firm does state they MUST notify the SEC under certain circumstances. Wasn't Goldstein? Huttoes lawyer listed on the SEC papers? I wonder what connection he played in this? Maybe Goldstein told Huttoe to fill-out the damn S-8's and try to cover it up??

Anyway, it sounds like Huttoe fumbled the ball because he didn't see the guy coming from behind and now all those holding stock want a piece of the game.

I'm just thinking and you may be right, the appointment of the new board could have been planned back in January as well??
