That is like Mark putting up $110,000.00 for a convertible debenture for America Coffee Cup and then settling it later. Depends on how you read the 10K as to whether you think it is a bad scenario ... I have dealt with that one also. Mark did not want the convertible debenture to go outside the company and be used against the shareholders investing in the stock.

Mark merely hired a promoter and the promoter did something wrong and the SEC wants to know if Mark capitalized on the illegal promotion is all. Mark still had all his shares. That is why he is ticked and was caught completely off guard with the civil suit.
