Hello folks,

My company is debating doing a "clean" shell placement for a "division", with the intent of keeping our parent company private and majority owner of this division.

I do not have any stock to sell, with that thought in mind I would certainly welcome some informal advice, observations or views from investors, folks like yourself that have participated in the "pre IPO" arena.

We have finished the corporate structure and have progressed through negotiations, I am looking to finish putting the final pieces of the puzzle together, in a fashion that will attract and retain the long term investors.

One of the biggest shor term problems we are considering is this division will only qualify for an OTC listing for about 6 months to a year, and hate that thought. So we are keeping our exit strategies from this deal open.

Any thoughts?
