Alot of these guys operating like this, put just as much time and energy into putting together the scam, as legit people in a business. These guys are no dummies and could probably accomplish alot if they tried, maybe more.

Fake Corporations, off shore accounts, post office boxes, (for offices) fake offices, (there are some here in NYC you rent by the hour!) Fake office staffs (answering services) Fake names, all kinds of smoke and mirrors.

The main hook is a line that is too good to be true, and a bunch off greedy dummies willing to buy the story, without doing very much checking. (myself included)
In Stocks day traders just add to the problem because about 80% of them dont have a clue as to what they are buying, to most of them its just a symbol and a number, this lets the Con men operate confortable... how many times have you heard "IT's THE MMs SHORTING THE STOCK?" Sure MMs short the stock, some times. But everytime the price turns down?

There was one OTC company shorting its own stock and in order to fund the payroll!!! They were busted and no longer listed, the officers are on the run. But during this time they blamed the MMs for all their problems.

Some of these less than reputable companies will start selling stock when the price is rising due to heavy buying, as the price drops everyone is blaming the MM, when in reality its their company causing the problems.

I dont understand it either, but I think if I was doing this kind of scams, I probably wouldnt be as worried about the authorities. As a $25 Saturday night special and a $1.00 worth of bullets would be my big concern. (Not a threat, just reality,) some people that lose homes, life savings, families and other things they consider important some times get very narrow minded about being a victim of a scam.

Of course any good con artist always has a pre planned exit.
