Actually,IMO it is the description of shorting against the block that was the relevant point. The SEC article describe this quite clearly. Instead of covering with Reg S converted shares,one could subsitute shares from the convertible debentures quite easily.(for the legal-same results).DD
PS: the profit comes in,by shorting the stock(at no risk) to a low price and converting,grabbing a large percentage of the outstanding shares,with hope of profit on the price rebound,with very little risk.If one can look past the differences,they may be able to grasp the concept of "shorting against the block"..if one can't...to bad,I tried..DD
