As it stands right now DGIV would have to do at least a 1:2 reverse split to meet the listing requirements for Nasdaq.

Let's review the requirements for listing on the Nasdaq SmallCap market:

* The company has to file financial reports with the SEC.

* The company has to have at least one of the following: 4 million dollars worth of tangible assets -or- market capitalization of 50 million dollars -or- annual sales of at least 750,000 dollars.

* There has to be at least 1 million shares in the float.

* The float has to have a value of at least 5 million dollars.

* The minimum bid price has to be at least 4 dollars a share

* There have to be at least 3 market makers [here's a tip for fun: find out who the market maker is for the stock, then go to the NASD Regulation site, nasdr.com and obtain the disciplinary record for the MM -- it'll look like a police "rap sheet"!]

* A minimum of 300 shareholders are required.

* A board of directors is required.

A company also has to maintain these conditions in order to stay listed. The OTC BB has a list of companies each day that have been added to the OTC BB because they've been delisted from another exchange.

So, does DGIV qualify for listing? They filed for a listing 2 years ago, and are still not listed. What's the delay?
