Paying with shares seems to send the message that mgmt. is either worried about having enough cash or that it doesn't think that the share price is undervalued,

Perhaps, Management is only saying that Concept is equally undervalued such that using Shares for the acquisisition is merely tit for tat.

Personally, I'm adverse to debt and like seeing that quality in a company.
