The same way that a public company may be "undervalued". If the outlook remains dismal for a long time, then the owners, be they public or private, may become convinced to sell at exactly the worst time.

P.S. My bias that both the buyer and the seller think they're getting a great deal is shining through. Brad Mattson must believe that he's getting a bargain while the Concept owners think they're getting out in the nick of time or something like that.
