Agreement with john de beer & associates

WAYNE, N.J.--(BUSINESS WIRE)--July 14, 1998--The Auxer Group Inc. (OTC Electronic Bulletin
Board:AXGI) announced it has entered into a marketing and distribution agreement with john de beer
& associates and is forwarding excerpts of the john de beer's announcement:

PRESS RELEASE:

John de beer & associates (de beer) located at 14187 Dekalb Ave., Rosemont, Minn. and 9
Featherston Grange, Glasshouse Lane, Packwood in the United Kingdom announced today that they
have entered into a Marketing and Distribution Agreement with Harvey Westbury Inc., a wholly
owned subsidiary of THE AUXER GROUP (AXGI:OTC Bulletin Board) Wayne, N.J.
(www.auxer.com).

The AUXER GROUP manufactures, wholesales and distributes a line of aftermarket automotive,
marine, aviation, and hardware products including Formula 2000 Ultimate(TM), Garry's(R) Royal Satin
Automotive Wax, Polish & Car Care, Garry's(R) Royal Satin Marine Care, IT(R) silicone spray,
T-Bolt(R) rust penetrant, Easy-Test(R) Testers, Air Conditioning Recharge Kits & Components, and
Fleet Crankcase Kits.

De beer plans an initial U.K. launch featuring the Formula 2000 oil additive under a newly designed
campaign slogan. A launch covering the European Union will follow. De beer plans to appoint U.K.
distributors for Harvey Westbury products during the coming weeks.

Chairman John de beer said "With energetic program implementation, I expect sales to reach an
annualized (pounds)2 million ($3.2 million U.S.) by the end of the first quarter 1999. I also believe that
these products are ideal for promotion and sale via the internet. We therefore will move immediately to
set up a website to promote the products, with the ability to take orders directly and on behalf of our
representatives, with payment by major credit card."

In addition to Harvey Westbury, de beer represents a number of other product lines, including:

-- Solar and hand-cranked electrical generators for charging

batteries and powering portable radio and related equipment in

remote areas and/or for military applications
