Hello: Here is the latest about the merger from the horse's (actually the other horse PTEC) mouth.
On April 16, 1998, the Company announced the completion of a definitive agreement to merge with Award Software International Inc [Nasdaq:AWRD - news]. The companies serve complementary segments of the rapidly growing markets for system software and peripheral interconnect technologies for PCs, servers, mobile computers, information appliances and embedded systems. Under the agreement, Award shareholders would receive 1.225 shares of Phoenix common stock for each share of Award common stock. On May 20, 1998, the companies announced that the Department of Justice (DOJ), which is reviewing the companies' application for approval of the merger as required under the Hart-Scott-Rodino Antitrust Improvements Act, had requested additional information and documentary material. The DOJ is reviewing the requested information and material, which the Companies submitted on June 23, 1998, and the Company remains optimistic that the transaction will be cleared in the August time frame. The merger was approved by both companies' shareholders on June 29, 1998.
