They didn't say it was worth 2.40 they said book value was 2.40.

No, they didn't. They said:

1. "MPI has a net book value of $2,500,000."

2. That EDII issued 1.1 million restricted new shares, and that the "EDII shares exchanged were based on a value of $2.40 per share".

Why was a "value" of $2.40 assigned to these shares, when in fact they're worth what they'd fetch on the open market, which currently is 45 cents? And why did MPI accept this deal? THOSE are the questions to be answered.
