LE, I think what Turboe is trying to say is 2) ICVI issues 50 MM new shares. They go to MTEI in the reverse. MTEI already owns the land and brings it to the table. Therefore, MTEI management are the current owners of old shell of ICVI as well as the property owners. What you are trying to imply actually proves that the old management of ICVI is no longer in control of MTEI. They gave the controlling shares to MTEI in the reverse. This is my understanding of the scenario. BTW, we HAVE been over this many times. Eric
