I am not at all surprised to see a counter suit. I did notice that the lawyer for the counter suit announced this "company press release". That's not odd either.

Regarding the SEC action, I am not sure. The wording is not as clear and precise as I would expect from a lawyer, so he may be being vague or stating something which is not even at issue, so that it will look worse than it really is.
The last part of the press release states facts and don't really necessarily mean that the company officers did anything wrong. It doesn't say that the officers sold shares which were unregistered, for example, only that they weren't allowed to sell unregistered shares. Did they? Doesn't really say.
Looks mostly to me like the lawyer just wanted to cause doubt and drive the stock back down. You'll notice that the share selling has nothing to do with parts i or ii of the suit.

Ultimately, I am watching cautiously.
It would sure be interesting to read the full text of both suits.
